10. Governing Law and Arbitration

Venue and jurisdiction shall be in Los Angeles County, USA.
This place of arbitration of the arbitratable issues or claims shall be a site mutually agreed-to by the parties within the Los Angeles metropolitan area of the United States, and the arbitration proceedings shall be conducted in accordance with the rules of arbitration of the American Arbitration Association, with the United States Federal Rules of Evidence and Civil Procedure governing issues of discovery and evidence. Although the rules of the AAA are applied, the auspices of the AAA are not required. The Arbitration shall be heard by a single legally and technically qualified arbitrator whose selection shall be mutually agreed-to by both parties. The costs of the arbitrator shall be shared equally by the parties; each party shall bear its own costs. The award rendered by arbitrator(s) shall be final and binding upon both parties.
